Debt Advisory Focused Corporate Finance For UK Businesses

We provide a premium, whole of market debt advisory offering to entrepreneurs and UK SMEs

We work closely with our clients to help them achieve their strategic objectives

Whilst relationships with our clients typically start with an initial debt advisory mandate, we often also provide broader independent corporate finance support and advice to SMEs as they grow

Altenburg Advisory is part of ACP, a debt advisory led corporate finance association between Altenburg Advisory and Cadence Advisory

We offer a hands-on approach and advise on, structure, and arrange debt funding solutions for our clients

We provide broader support to both debt advisory and non-debt advisory clients

Where clients are only looking for an introduction, we help them to identify suitable debt funding sources

We often work alongside other advisers (tax, accountancy, buy side corporate finance, due diligence) on a transaction. Where appropriate, to ensure that our clients have all the support that they need, we introduce them to other advisers that we know and trust. For more details, please get in touch

What makes ACP different to our competitors? We are:

  • We provide impartial advice to our clients

  • We only have one ‘product’ - debt advisory focussed corporate finance

  • Our mission is to provide best in class advice to SME

  • We are committed to helping our clients achieve their strategic goals

  • Our extensive experience allows us to structure bespoke solutions for even the most complicated requirements

  • We create value by optimising debt terms to meet the SME’s objectives, reduce costs and maximise flexibility

  • Senior advisers lead every mandate and our team has over 100 years of specialist sector and product expertise

  • With prior experience of both lending and advising, we are uniquely placed to advise borrowers on the requirements of potential lenders

  • We build long-term relationships with our clients

  • We have grown through recommendations and personal referrals from clients whom we have advised and, in many cases, continue to work with

Our aim is to build a market leading debt advisory practice by helping our clients grow and build the long-term value of their businesses

Our Advisory Services:

We work closely with our clients to develop a solution that is appropriate for the current situation as well as for future requirements

We work with a wide range of lenders including banks, debt funds, alternative lenders and specialist funders

We typically work with businesses who are looking to raise over £2m of debt, whether that be to finance growth, fund assets, buy out a shareholder or to restructure their balance sheet

Our offering is analysis led, and we are hands-on from day 1 all the way through to the drawdown of funding

Every process is tailored to the solution. A typical process may look like:

  • Understand the business today and the future strategy

  • Understand the debt funding requirements

  • Perform initial analysis on potential debt structures and solutions

  • Where required, we have initial, confidential discussions with selected funders we know well to confirm our assumptions

Output: Feedback to client and agree terms of engagement with Altenburg Advisory

Stage 1:

Initial Assessment

  • Work with the client to produce the funding information required by funders

  • Typically this is an information memorandum (presentation on the business) and a financial model (historical and forecast numbers)

  • Model various debt scenarios and covenants to determine the most appropriate solution

  • The information analysis in the pack ensures that the ask to funders is clear and supportable

Output: Information pack for funders

Stage 2:

Information Pack for Funders

  • Determine the most appropriate lenders to speak with

  • Initial discussion and sharing of the information pack with funders (under NDA)

  • Receive initial feedback and arrange meetings with selected funders

  • Receive and negotiate initial term sheets

  • Model terms received

Output: Sign term sheet with a funder

Stage 3:

Discussion and Meetings with Lenders

  • Further information sharing with funder to allow them to complete their due diligence

  • Work with client's lawyers to agree and negotiate any outstanding commercial terms with the funder

  • Preparation of transactional funds flow

  • Other support as required

  • Finalise and sign documents

Output: Drawdown of funding

Stage 4:

Lender Due Diligence and Closing

Ongoing Support

  • Support in relation to additional drawdowns

  • Corporate finance support (as appropriate and required) - see Corporate Finance Advisory

We offer broader corporate finance advisory, including:

  • Financial modelling

  • Forecasting, including short term cash flows

  • Scenario analysis and sensitivity analysis

  • Review, assessment and modelling of acquisition targets

  • Providing constructive external challenge

  • Supporting ongoing relationship and discussions with funders

  • Strategic advisory

Whilst we don’t directly advise on M&A, we:

  • Work alongside buyside corporate finance advisors (as “one team”) to structure and arrange appropriate debt financing

  • Work with MBO / MBI teams to raise debt financing for the transaction

  • Introduce trusted corporate finance teams to clients who can help them sell their business and realise full value

Where clients are only looking for an introduction to an appropriate debt funder, we act as an intelligent intermediary

We spend time understanding a client's situation and their objectives, and use our extensive knowledge of the lending markets to match the funding requirement to a selected number of appropriate funders

This approach ensures that the financing process is more focused and efficient for both the borrower and the lenders

Sectors covered include both secured and cash flow based financing
